Terms of Use

These Terms of Use (“Terms”) govern your access to and use of TentaBill — contractor time-tracking and invoicing software, including the Percy AI assistant and the optional Microsoft 365 Copilot agent (the “Service”). By using the Service, you agree to these Terms.

1. Acceptance of these Terms

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. The Service

TentaBill helps contractors track time and produce and send invoices, and includes Percy, an AI assistant that answers questions and performs actions over your workspace. We may add, change, or remove features over time. The Service is currently offered on an evolving basis and may include beta or preview functionality.

3. Accounts

You sign in using Microsoft 365. You are responsible for maintaining the security of your Microsoft account and for all activity under your TentaBill account. You must provide accurate information and be at least the age of majority in your jurisdiction.

4. Acceptable use

You agree not to:

• Use the Service unlawfully, or to send unlawful, deceptive, or infringing invoices or communications;
• Attempt to access data that is not yours, or to circumvent security or tenant isolation;
• Interfere with or disrupt the Service, or probe it for vulnerabilities without authorization;
• Reverse engineer, resell, or misrepresent the Service; or
• Use the Service to violate the rights of others.

5. Your data & content

You own the business data and content you put into TentaBill. You grant us a limited license to host, process, and transmit that data solely to provide and improve the Service and to act on your instructions (for example, sending an invoice from your mailbox). You are responsible for the accuracy and lawfulness of the data you enter and the invoices you send.

6. AI features (Percy)

Percy uses AI models and may produce output that is inaccurate, incomplete, or not suitable for your purpose. You are responsible for reviewing Percy’s output — especially invoices, amounts, and anything sent to a customer — before relying on or acting on it. Percy’s suggestions are not professional, legal, tax, or accounting advice. Where you connect your own AI provider, your use of that provider is also governed by your agreement with it.

7. Third-party services

The Service integrates with third parties, including Microsoft 365 (sign-in, mail, and the Copilot agent) and your chosen AI provider. Your use of those services is subject to their own terms, and we are not responsible for them. Microsoft 365 Copilot and related functionality require appropriate Microsoft licensing that you are responsible for obtaining.

8. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your requirements.

9. Limitation of liability

To the maximum extent permitted by law, TentaBill and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising from or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim, or US$100.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service. On termination, the license you granted us ends, and you may export your data as described in our Privacy Policy before it is deleted or de-identified.

11. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we’ll update the “Last updated” date and provide reasonable notice. Continued use of the Service after changes take effect means you accept the revised Terms.

12. Governing law

These Terms are governed by the laws of the State of Kansas, USA, without regard to conflict-of-laws rules. The state and federal courts located in Kansas will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, unless applicable law requires otherwise.
